根據(jù) 《建筑法》 規(guī)定，為明確雙方在履行工程承包合同過程中的權(quán)利、義務(wù)、程序，經(jīng)雙方協(xié)商后，一致同意簽訂本合同，并依照履行。
For the purpose of stipulation of tittles, liabilities and procedure of project execution hereof for parties hereto, this contract is, through mutual negotiation and agreement by parties hereto, made and entered into for their fulfillment.
第一條 工程設(shè)計(jì)技術(shù)條件 Article One Technical Conditions of Project Design

第二條 工程承包范圍 Scope of Construction
一、± 0.000 以上建筑鋼結(jié)構(gòu)部分及屋面、墻面(不含砌體和混凝土)，詳見第一條相關(guān)的內(nèi)容和最終報(bào)價(jià)書的報(bào)價(jià)范圍。
Steel structure above ± 0.000, roof and walls ( excluding masonry and concrete), which as detailed the contents and final quotation related to Article One.
二、鋼結(jié)構(gòu)原輔材料采購、制造、運(yùn)輸、安裝及按現(xiàn)行國家法規(guī)應(yīng)由承包方支付的費(fèi)用，及發(fā)包方委托的鋼結(jié)構(gòu)施工圖設(shè)計(jì)。
Procurement, manufacture, transportation and installment of raw / auxiliary materials for steel structure and the cost which should be effected payment by contractor as per existing State’s laws and regulations, and drawings design of project which commissioned by employer.
三、本工程鋼結(jié)構(gòu)建筑面積： _______ (平方米)

四、本工程運(yùn)輸由 ______ 方負(fù)責(zé)，運(yùn)費(fèi) _____ 在本合同造價(jià)內(nèi)。

第三條 工程造價(jià) Article Project Cost

第四條 工程設(shè)計(jì) Article Four Project Design
? 發(fā)包方責(zé)任 Employer’s Responsibilities
1 、發(fā)包方負(fù)責(zé)本工程基礎(chǔ)土建的設(shè)計(jì)。
Design of civil work of project foundation shall be on employer.
2 、發(fā)包方委托承包方承擔(dān)鋼結(jié)構(gòu)部分的設(shè)計(jì)，發(fā)包方提供設(shè)計(jì)所需要的工藝條件及技術(shù)條件(詳見第一條工程技術(shù)條件)并在本合同生效后三天內(nèi)提供全部相關(guān)的技術(shù)條件和工藝條件，以供承包方進(jìn)行設(shè)計(jì)。
Employer shall commission contractor to assume the design of steel structure, for which employer provide the conditions of craftwork and technique which are necessary to design (dialed reference made to TECHNICAL CONDITIONS OF PROJECT of Article One), in addition to the provisions of all technical conditions and craftworks conditions, within three days upon validity of this contract for contractor’s design.
? 承包方責(zé)任 Contractor’s Responsibilities
1 、承包方必須按現(xiàn)行國家鋼結(jié)構(gòu)相關(guān)規(guī)范和發(fā)包方提供的相關(guān)資料及技術(shù)條件進(jìn)行設(shè)計(jì)，發(fā)包方的超規(guī)范要求必須書面告之，承包方在國家規(guī)范允許的范圍內(nèi)給予適當(dāng)傾向量。
Contractor should procethe design in accordance with State’s relevant norms of steel structure and respected materials and technical conditions, if and to the extent that any requirement by employer beyond state’s norms should be given the prior notice to contractor which may make appropriate amount of tendency within allowable arrange of State’s norms.
2 、基礎(chǔ)圖由承包方設(shè)計(jì)，發(fā)包方提供全部相關(guān)資料及技術(shù)條件后 ___ 天內(nèi)，由承包方提供有資質(zhì)設(shè)計(jì)院圖簽的土建基礎(chǔ)施工圖 套。
Foundation drawings shall be designed by contractor which should, after days of employer’s provision of all relevant materials and technical conditions, provide sets of foundation drawings of civil construction ， which have been approved / signed by the qualified Design Institute ， to employer.
第五條 工地代表責(zé)任 Article Five Responsibilities of Site Representative
? 發(fā)包方駐工地代表 Employer’s site representative
1 、發(fā)包方任命的駐工地代表及其委托代理人由具體管理人員擔(dān)任，并代表發(fā)包方簽發(fā)有關(guān)工程聯(lián)系單、驗(yàn)收單、結(jié)算付款單等。經(jīng)該代表簽署的所有單據(jù)具有法律效力，但與本合同條款相沖突的簽單無效，以本合同條款為準(zhǔn)。
The duties of site representative appointed by and deputy of party A will be assumed by specific managers who shall issue, by or on behalf of employer, relevant Project Connecting Letter, Acceptance Notice and Settlement / Payment Notice, and so on. All documents which issued by such representative shall be in full force and effect, provided that any signed statement by representative conflict to the stipulations hereof shall be null and void, the terms hereof shall prevail.
2 、發(fā)包方代表或委托代理人的指令、聯(lián)系單、通知、須經(jīng)其本人簽名，并以書面形式遞交承包方代表，承包方代表在回執(zhí)上簽署姓名、時(shí)間后方生效。
No any direction, connecting letter and notice, which are given by site representative appointed by and deputy of party A, shall come into force and effect until have been made the signature of the representative thereon and submit in writing to contractor’s representative who sign its name on return receipt thereof.
第六條 施工準(zhǔn)備 Article Six Execution Preparation
? 承包方 By Contractor
1 、在本合同生效后 ______ 日內(nèi)，由承包方向發(fā)包方提供設(shè)計(jì)圖紙 ______ 套，并通知發(fā)包方組織設(shè)計(jì)會(huì)審和施工圖交底會(huì)議，會(huì)后 ______ 日內(nèi)，由發(fā)包方提出修改決定，交承包方修改設(shè)計(jì)，如有設(shè)計(jì)變更的，則工期視變更情況作相應(yīng)調(diào)整，增減的工程量按報(bào)價(jià)單計(jì)算作相應(yīng)調(diào)整并另簽補(bǔ)充合同。
Contractor will, within days after contract coming into force and effect, submit sets of design drawings to employer and a notice for the meeting of joint exam on design and execution drawings. Within days after the meeting, employer shall issue its amendment decision for contractor’s amendment of design. If and to the extension that modification or variation of design made, extension of execution time shall be adjusted correspondingly as the case may be, and all added or minus quantity shall, calculating on Statement of Quotation, be adjusted in addition to complementary contract herewith.
3 、組織原材料采購制造加工，組織施工管理人員和施工機(jī)械進(jìn)常
Organization of the procurement, manufacture and processing, as well as organization of execution managers and machinery acceto the site.
4 、編制施工組織設(shè)計(jì)或施工方案，材料成品、半成品等進(jìn)場(chǎng)計(jì)劃(包括用水、用電計(jì)劃)送發(fā)包方。
Preparation of Design or program of execution, Plan of entering site of material / semi-finished article (including plan of water, electricity supply ) shall be made and submitted to employer.
? 發(fā)包方 Employer
1 、合同約定委托承包方設(shè)計(jì)的項(xiàng)目，在本合同簽訂的同時(shí)，由發(fā)包方提供本合同規(guī)定的資料及技術(shù)條件，供承包方設(shè)計(jì)，在設(shè)計(jì)完成后有義務(wù)書面確認(rèn)設(shè)計(jì)。
With respect to the design item done by contractor commissioned by contract stipulation, employer should, at the same time of this contract conclusion, supply the material and technical conditions, which are stipulated hereby, to contractor for the necessity to design, and have the responsibility of written confirmation on the finished design by contractor.
2 、在承包方進(jìn)場(chǎng)前做好本工程符合鋼結(jié)構(gòu)安裝要求的混凝土基礎(chǔ)及預(yù)埋螺栓并驗(yàn)收合格，同時(shí)提供全套土建竣工資料及發(fā)包方驗(yàn)收數(shù)據(jù)的結(jié)論。
Employer should, before contractor enter into the site, complete concrete foundation and embedded bolt for this project, which meet the requirements for installation of steel structure, and through acceptance, at same time submit a full set of documents on completion of civil engineering project , and conclusion of data information from employer acceptance.
3 、在承包方進(jìn)場(chǎng)前，保證本工程施工所需各類車輛進(jìn)出道路的暢通，接通施工現(xiàn)場(chǎng)的施工用水及照明和動(dòng)力電源(包括水表、配電板、電表)。
Employer should, before contractor enter into site, ensure the road on which all types of vehicles necessary for project execution smooth and free; and make connection of supply of , on site, water for execution and electricity for lighting and power (including water meter, power distribution panel and power meter).
4 、開工前辦理建筑許可證等。如因無建筑許可證而發(fā)生的相關(guān)責(zé)任和一切費(fèi)用由發(fā)包方承擔(dān)。
Employer should, prior to commencement, procewith Construction Licence and other permissions, if, in the absence of Construction Licence, any relevant responsibility and cost arising there from shall be taken by employer.
第七條 工程期限 Article Seven Project Term
一、本工程鋼結(jié)構(gòu)工期自合同簽字發(fā)包方付達(dá)定金之日起 _____ 內(nèi)完成。其中設(shè)計(jì) ____ 天 , 制造 _____天 , 安裝自進(jìn)場(chǎng)起 _____ 天完工。
The project construction should be completed within days as of the date on which earnest money paid by employer making its signature on this contract. days of the construction term for design, days for manufacture and days for installation which calculated from the date on which enter into the site.
二、發(fā)包方基礎(chǔ)工程完工后，在承包方進(jìn)場(chǎng)前 ______ 天，發(fā)包方應(yīng)向承包方交付土建驗(yàn)收資料，承包方確認(rèn)施工現(xiàn)場(chǎng)符合施工要求后，由發(fā)包方發(fā)出進(jìn)場(chǎng)通知書，進(jìn)場(chǎng)安裝時(shí)間以承包方收到進(jìn)場(chǎng)通知書后第 ______天起計(jì)算。
Employer should, in days prior to contractor’s acceto site after completion of foundation project by employer, delivery the materials of acceptance on civil engineering, and issue Notice of Entering Site to contractor by which the execution site have been confirmed to satisfy the requirements of execution. The time of entering site for installation shall be calculated on and from the day after contractor receive Notice of Entering Site.
第八條 工程質(zhì)量 Article Eight Project Quality
一、本工程質(zhì)量要求達(dá)到國家相關(guān)規(guī)范合格標(biāo)準(zhǔn)。
The quality of this project is required to meet State’s respected norms and to reach the eligibility criteria.
二、承包方必須嚴(yán)格按照國家有關(guān)規(guī)范標(biāo)準(zhǔn)要求精心設(shè)計(jì)，按照施工圖紙、施工說明文件進(jìn)行施工，接受監(jiān)理工程師及發(fā)包方派駐代表的監(jiān)督。
Contractor should, in accordance with strictly State’s relevant norms and standards, well-designed and proceexecution as specified on the drawings and explanation for execution, and subject to the surveillance of supervision engineer / site representative on behalf of employer.
第九條 鋼結(jié)構(gòu)材料的供應(yīng)、 驗(yàn)收 Article Nine Provision / Acceptance of Steel Materials
由承包方提供的主要原材料、標(biāo)準(zhǔn)件，必須按有關(guān)規(guī)定提供產(chǎn)品質(zhì)量合格證或進(jìn)行驗(yàn)收合格后方可用于工程。由發(fā)包方提供的主要原材料、標(biāo)準(zhǔn)件，也必須有產(chǎn)品質(zhì)量合格證方可用于工程。鋼構(gòu)主體工程必須經(jīng)發(fā)包方派駐代表檢查、驗(yàn)收簽章后，方可進(jìn)行圍護(hù)結(jié)構(gòu)的安裝。
The main raw materials and standard parts which are supplied by contractor should pursuant to relevant specification, be provided with the Product Quality Certification or acceptance before used to project. The main raw materials and standard parts which are supplied by employer are also with the Product Quality Certification before used to project. Steel main project should, after through the exam and acceptance with the signature / seal of employer’s site representative, be processed with the installation of retaining structure.
第十條 工程價(jià)款的支付與結(jié)算 Article Ten Payment and Settlement of Project Cost
工程價(jià)款的支付和結(jié)算，根據(jù)國家有關(guān)部門制定的工程價(jià)款結(jié)算辦法 , 并結(jié)合鋼結(jié)構(gòu)建筑的特殊情況進(jìn)行支付與結(jié)算。
Payment and settlement of project cost shall, in accordance with the regulations of engineering cost settlement stipulated by State’s authority concerned, and combined with the particular circumstances of steel project, be processed.
一、本工程鋼梁、鋼柱進(jìn)場(chǎng)三日內(nèi)，發(fā)包方支付合同總價(jià)的 20 %作為工程預(yù)付款，計(jì)人民幣 ____ 萬元，承包方開始安裝。
Employer should, within three days upon the date of steel beams and steel columns entering into the site, make payment of 20% of total contract cost as project’s advance payment which equal to RMB YUANbefore contractor commence the installation.
二、安裝竣工并驗(yàn)收合格后的七天內(nèi)支付合同總價(jià)的 75 %，計(jì)人民幣 _____ 萬元，余款 5 %，計(jì)人民幣_(tái)_____ 萬元作為質(zhì)保金留滯 , 質(zhì)保期為一年 , 待質(zhì)保期滿后三日內(nèi)付清全部質(zhì)保金。
Employer shall, within seven days on and after installation completion and through acceptance, pay contractor 75% of total contract cost, valued sum of RMB YUAN , and remaining 5% which valued RMB YUAN as retention money withheld for one year of quality warranty, and full retention money shall be released within three days upon expire of warranty period.
三、如因發(fā)包方拖欠工程款而影響工程進(jìn)度，造成承包方的停工，窩工損失的，應(yīng)由發(fā)包方承擔(dān)相關(guān)經(jīng)濟(jì)損失，對(duì)延誤的工期相應(yīng)延長。
Provided that if employer’s failure of payment of project cost effect the project progreand result in loof contractor’s work suspension and slowdown, on which the responsibilities shall be born by employer and extension of project term for contractor.
四、本合同結(jié)算方式：銀行即期匯票，結(jié)算幣種為人民幣。
Settlement by Bank Demand Draft, the currency of settlement is RMB.
第十一條 施工與設(shè)計(jì)變更 Article Eleven Alteration of Execution and Design
一、正式的設(shè)計(jì)施工圖紙、說明和有關(guān)技術(shù)資料，作為施工的有效依據(jù)，開工前由發(fā)包方組織設(shè)計(jì)交底和各方會(huì)審，任何一方不得擅自修改。
Formal design drawings, interpretation and relevant technical materials are the effective basis of project execution, for which, prior to commencement, employer shall organize design discussion and joint review by the parties concerned, any party shall not make unilateral alteration.
二、施工中如發(fā)現(xiàn)設(shè)計(jì)的錯(cuò)誤或嚴(yán)重不合理的地方，發(fā)現(xiàn)方應(yīng)及時(shí)以書面形式通知對(duì)方，由提供設(shè)計(jì)圖紙方及時(shí)會(huì)同有關(guān)設(shè)計(jì)單位研究確定修改意見或變更設(shè)計(jì)文件，承包方按修改或變更的設(shè)計(jì)文件進(jìn)行施工。若因此導(dǎo)致增加費(fèi)用則由責(zé)任方承擔(dān)，并調(diào)整合同造價(jià)。
Provided that any discovery of error or substantial unreasonable item in design, the party which discover should in time give written notice to opposite party therewith, and the party by which the design drawings submitted should without undue delay, with concerned design institution, confirm revising opinion of or modification of design document. Contractor shall make execution in accordance with the modified design, and the added cost therefore, if any, shall be on the account of the party with obligation, and contract cost may be adjusted correspondingly.
第十二條 工程驗(yàn)收 Article Twelve Acceptance of Project
一、混凝土基礎(chǔ)工程由發(fā)包方驗(yàn)收或監(jiān)理驗(yàn)收合格后在發(fā)包方發(fā)出《進(jìn)場(chǎng)開工通知》前交承包方復(fù)驗(yàn)。
Concrete foundation project shall, through acceptance of employer or supervision engineer, prior to issuing of Notice of Commencement by employer, delivered to contractor for retesting.
二、鋼結(jié)構(gòu)工程驗(yàn)收：按施工圖及說明文件、國家現(xiàn)行鋼結(jié)構(gòu)工程標(biāo)準(zhǔn)進(jìn)行驗(yàn)收，驗(yàn)收應(yīng)在竣工通知發(fā)出后五天內(nèi)開始，逾期不進(jìn)行驗(yàn)收的，視為驗(yàn)收合格，不影響支付工程款。
Respect to steel structure project: Final acceptance should be made in accordance with drawings, interpretation files and the current national standard for steel structure. Acceptance should, within five days after issuing Completion Notice, be made, if, fail to do so, the project shall be deemed as acceptance and not effect the payment of project cost.
第十三條 違約責(zé)任 Article Thirteen Responsibilities for Breach
? 承包方責(zé)任： Contractor’s responsibility
一、工程質(zhì)量不符合設(shè)計(jì)規(guī)定的，負(fù)責(zé)無償修理。
Wherever project quality fails to meet the stipulations of design, contractor should make repair in free.
二、因承包方過錯(cuò)不能按合同規(guī)定的期限交付使用的，每天按工程總價(jià)的萬分之五償付逾期違約金。
Provided that contractor fail to deliver project to use due to the fault of contractor, overdue penalty shall be charged on each delay day by five ten thousandth of total contract cost.
? 發(fā)包方的責(zé)任： Employer’s responsibility
一、如果發(fā)包方不按合同規(guī)定撥付工程進(jìn)度款，對(duì)延付金額按照每天萬分之五的違約金償付給承包方，并允許承包方停工，工期相應(yīng)順延。
Provided that employer fail to make progrepayment as per contract provisions, deferred amount due to contractor shall be charged with breach penalty by each delay day by five -ten thousandth of the amount payable and allow contractor ‘s suspension in addition to extension of project term accordingly.
二、工程經(jīng)驗(yàn)收合格或未經(jīng)驗(yàn)收提前使用后仍不支付工程款的，違約金按總造價(jià)每日萬分之十支付違約金。
Should employer still refuse to make payment of project cost after through acceptance or advance use without acceptance, breach penalty shall be calculated by each day ten – ten thousandth of total project cost.

第十四條 糾紛解決辦法 Dispute Settlement
如果發(fā)生與本合同或其任何附件的效力、解釋或執(zhí)行有關(guān)的爭(zhēng)議，雙方首先應(yīng)爭(zhēng)取通過友好協(xié)商解決該爭(zhēng)議，如果一方向另一方發(fā)出通知開始協(xié)商之后的__日內(nèi)，該爭(zhēng)議未以此方式解決，則任何一方可將該爭(zhēng)議提交仲裁。
In the event any dispute arises in connection with the validity, interpretation, or implementation of this Contract or any of its annexes, the Parties shall attempt in the first instance to resolve such dispute through friendly consultations. If the dispute is not resolved in this manner within _____ days after the date on which one Party has served written notice on the other Party for the commencement of consultations, then either party may refer the dispute to arbitration.
第十五條 附則 Article Fifteen Miscellaneous
一、本合同一式 _______ 份 , 合同附件 _________ 份。甲已雙方各執(zhí)合同正本 ______ 份。與本工程合同有關(guān)的施工圖紙、招標(biāo)文件、投標(biāo)書、中標(biāo)通知書，履行本合同過程中雙方現(xiàn)場(chǎng)代表簽署的聯(lián)系單、指令單、會(huì)議紀(jì)要等具有合同附件之法律效力。
This contract is make copies of original, with annex copies, parties hereto held
copies of original respectively. Whatever any executing drawings, bidding documents, tender letter, Notice of Acceptance, in addition to, during performance of contract, the contact list, instruction, meeting minutes which are signed by the representatives of parties hereto shall the same validity as contract annex.
二、本合同自雙方代表簽字，加蓋雙方公章或合同專用章后成立，收到定金后合同即生效;在工程竣工驗(yàn)收符合要求，保修期滿，結(jié)算工程款支付完畢后合同終止。
This contract shall, on and from signature of the representatives of parties hereto, be made establishment and shall become effective upon receipt of deposit, and shall cease its validity on and after acceptance in conform with the requirements, expire of warranty period and full payment of project cost.
三、雙方已于本合同首頁所載日期通過其正式授權(quán)的代表簽訂本合同，以資證明。
IN WITNESS WHEREOF, each of the Parties hereto has caused this Contract to be executed by its duly authorized representative on the date first set forth above.

Fixing and calibration of anchor bolt for steel structure
鋼結(jié)構(gòu)地腳螺栓的固定與校正技術(shù)要求
Location of anchor bolt is the first key in the steel construction of this engineering, and shall be specially take care. The location shall be in time and correct to avoid delaying the construction period. After give out axis and frame before installing the embedded parts, cooperate the installing personnel to carry out rechecking for two times when the installation fixing and concrete pouring almost are formed, and adjust the position and elevation to ensure no risk at all.
柱腳螺栓的的精確定位是本工程鋼結(jié)構(gòu)施工的第一重點(diǎn)，應(yīng)特別予以注意。定位要求及時(shí)、準(zhǔn)確，避免延誤工期。在預(yù)埋件安裝前給出軸線、邊框位置后，還要再配合安裝人員，在安裝固定和砼澆筑即將成型時(shí)進(jìn)行兩次復(fù)核，及時(shí)調(diào)整位置、標(biāo)高，保證萬無一失。
The embedding works of anchor bolt parts are responsible by special personnel, set with a special team, included one foreman, one measurer, two welders, two bar placer, and two woodworkers, to be responsible for all embedding works and in charge by the foremen.
預(yù)埋件預(yù)留工作安排專人負(fù)責(zé)，設(shè)一個(gè)專門小組，包括 1 名工長、 1 名測(cè)量員、 2 名電焊工、 2 名鋼筋工和 2 名木工，負(fù)責(zé)全部預(yù)埋工作，并由工長統(tǒng)一負(fù)責(zé)。

預(yù)埋件位置由測(cè)量員按設(shè)計(jì)要求，從軸線引測(cè)，彈出中心十字線，設(shè)置時(shí)按線安放。由于固定螺栓的角鐵支架懸空、不到底，應(yīng)將豎向角鐵加長到基礎(chǔ)底板上表面，或增加角鐵支架來支撐螺栓支架。定位時(shí)應(yīng)當(dāng)全部由軸線引測(cè)，不得由模板邊線引測(cè)，防止因模板位置不準(zhǔn)導(dǎo)致埋件偏移。

為保證埋件固定牢靠，可用焊機(jī)將其焊在結(jié)構(gòu)鋼筋上 ( 但應(yīng)注意不得損傷受力鋼筋 ) ，固定其與模板的相對(duì)位置，防止在砼澆筑時(shí)埋件內(nèi)縮偏離模板而埋入砼中。預(yù)埋螺栓上部必須全部用鋼筋或鋼管、角鐵等全部拉通，確保在砼澆筑過程中不位移。
